§ 1. General Provisions

  1. These Terms of Service govern the use of the website originhr.at and the consulting services provided by Origin HR Solutions GmbH. By accessing the website or engaging our services, you agree to be bound by these terms.
  2. The service provider is Origin HR Solutions GmbH, located at Rotenturmstraße 16, 1010 Vienna, Austria. These terms constitute a legally binding agreement between you (the 'Client') and the service provider.
  3. Any deviation from these terms must be agreed upon in writing. The service provider reserves the right to amend these terms at any time, with amendments becoming effective upon their publication on the website.
  4. The services offered are intended for business clients. By engaging our services, you confirm that you are acting in a professional capacity and not as a consumer.

§ 2. Definitions

  • Platform – Refers to the website operated by Origin HR Solutions GmbH at the domain originhr.at.
  • Client – Refers to any legal entity or individual acting in a professional capacity who engages the Services provided by Origin HR Solutions GmbH.
  • Engagement – Refers to the formal agreement, typically outlined in a Statement of Work, for the provision of specific Services to a Client.
  • Services – Refers to the HR consulting, advisory, training, and recruitment services offered by Origin HR Solutions GmbH as described on the Platform.
  • Terms – Refers to these Terms of Service.

§ 3. Type and Scope of Services Provided

  1. The scope of services, deliverables, timelines, and fees will be detailed in a separate Statement of Work (SOW) or consulting agreement signed by both parties. The SOW shall be an integral part of this agreement.
  2. Services are provided on an advisory basis. The Client retains ultimate responsibility for all decisions, actions, and implementation of any advice or recommendations provided by Origin HR Solutions GmbH.
  3. Origin HR Solutions GmbH warrants that all Services will be performed with professional care and skill. However, we do not guarantee any specific business outcomes as a result of our Services.
  4. Any intellectual property developed during the Engagement, including reports, analyses, and training materials, remains the property of Origin HR Solutions GmbH, unless otherwise specified in the SOW.

§ 4. Fees and Payment

  1. Fees for Services will be specified in the SOW. All fees are exclusive of VAT and other applicable taxes, which will be added to the invoice at the prevailing rate.
  2. Invoices are payable within 14 days of the invoice date unless otherwise agreed in writing. Late payments may incur interest at the statutory rate.
  3. All payments shall be made in Euros (EUR) via bank transfer to the account specified on the invoice.

§ 5. Rights and Obligations of the Client

  1. The Client agrees to provide all necessary information, data, and access to personnel required for Origin HR Solutions GmbH to perform the Services effectively and in a timely manner.
  2. The Client is responsible for the accuracy and completeness of all information provided to Origin HR Solutions GmbH. We are not liable for any consequences arising from inaccurate or incomplete information.
  3. The Client agrees to use the advice and deliverables provided by Origin HR Solutions GmbH for internal business purposes only and will not reproduce, distribute, or share them with third parties without prior written consent.
  4. The Client must inform Origin HR Solutions GmbH of any circumstances that may impact the delivery of the Services, including changes in project scope or key personnel.
  5. The Client agrees to maintain the confidentiality of all proprietary information and methodologies shared by Origin HR Solutions GmbH during the course of the Engagement.

§ 6. Final Provisions

  1. This agreement shall be governed by and construed in accordance with the laws of Austria. The place of jurisdiction for any disputes arising from this agreement is Vienna, Austria.
  2. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
  3. Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond their reasonable control (force majeure).
